Commission for transfer of voting interests from Asa E. Dudley, Jr. ,deceased, to

Oma Jean Dudley Executrix for the Estate of Asa E. Dudley, Jr. and from Richard

William Gilchrist, Sr., deceased, Personal Representative of the Estate of Joseph

Wilson Gilchrist, subject to grant of a pending petition for Letters Testamentary in

the Circuit Court of Pike County to Richard William Gilchrist Jr., as the new

Personal Representative of the Estate of Joseph Wilson Gilchrist. Members of the
